These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Rofoso Consumer Private Limited (operating as "PoloPan", "we", "us", or "our"). These Terms govern your access to and use of the PoloPan mobile applications (iOS and Android), website (polopan.com), browser extensions (Chrome, Edge), APIs, widgets, and any related services, content, or features (collectively, the "Service"). By accessing, downloading, registering for, or using our Service, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations across all supported jurisdictions worldwide.

By accessing or using our Service, you affirm that you have read, understood, and agreed to these Terms of Service, including any additional terms, policies, and guidelines referenced herein or made available by hyperlink. These Terms apply to all users of the Service globally, including without limitation casual browsers, registered account holders, creators, and merchant partners.
Updates
We reserve the right to revise, update, or modify these Terms from time to time at our sole discretion. We will notify you of material changes by posting the revised Terms on the Service, updating the "Last Updated" date, and/or providing an in-app notification or email alert where appropriate. Your continued access to or use of the Service following the posting of revised Terms constitutes your binding acceptance of such changes. If you do not agree to the updated Terms, you must immediately cease using the Service and may delete your account via the in-app settings.
Service Description
PoloPan is a global artificial intelligence technology platform providing fashion discovery, personalized outfit assembly, virtual try-on visualization, and multi-retailer catalog aggregation. We index and structure product catalogs from hundreds of partner brands, independent labels, and retail marketplaces servicing shoppers in over 240 countries and territories. Our proprietary recommendation engine, computer vision algorithms, and multi-centroid AI models curate personalized ensembles, complete lookbooks, and wardrobe recommendations based on your style inputs, interaction telemetry, and geographic delivery preferences.
No Commercial Transactions
PoloPan is an AI technology and discovery intermediary. We are NOT a retailer, merchant, reseller, vendor, or payment processor, and we do not hold, warehouse, sell, or ship any physical garments or products. All product listings, imagery, descriptions, sizing, and pricing displayed on the Service are aggregated from Third-Party Retailers and Merchants. When you click on a product or outfit component, you are seamlessly redirected to the respective Third-Party Retailer's storefront to complete your purchase. PoloPan is not a party to, and bears no liability or responsibility for, any commercial transaction, order placement, billing, payment processing, shipping, customs clearance, product condition, or dispute between you and any Third-Party Retailer.
No Product Customer Service
We do not handle refunds, returns, exchanges, cancellations, order tracking, shipping logistics, product warranty claims, or product-related customer service inquiries. All such matters must be addressed directly with the applicable Third-Party Retailer from whom the item was purchased, subject to that retailer's specific terms of sale, return policies, and consumer guarantees.

Customs Import Duties And Tariffs
PoloPan is strictly an artificial intelligence discovery and referral intermediary. We are NOT the Importer of Record (IOR), Exporter of Record (EOR), customs broker, freight forwarder, or logistics carrier for any products discovered via the Service. PoloPan assumes ZERO liability, responsibility, or financial obligation for customs clearance, inspection holds, quarantine delays, import tariffs, customs duties, destination value-added tax (VAT), goods and services tax (GST), administrative processing fees, border confiscations, or regulatory compliance of imported textile and apparel articles. Any and all customs duties, import clearance fees, paperwork, and compliance obligations are strictly between you, the Third-Party Retailer, and the relevant customs authorities.
Transit Insurance And Risk Of Loss
PoloPan DOES NOT provide, broker, underwrite, manage, or guarantee transit insurance, carrier cargo coverage, delivery guarantees, or parcel tracking accuracy. PoloPan is not liable for items lost in transit, damaged during shipping, stolen (including porch piracy), or misdelivered by commercial freight carriers. Legal title and all risk of loss or damage pass directly from the Third-Party Retailer to you upon the retailer's delivery of the parcel to the shipping carrier, subject exclusively to that retailer's terms of carriage.
Refunds Returns And Seller Policy Enforcement
PoloPan is NOT a party to the contract of sale between you and any Third-Party Retailer. PoloPan DOES NOT process refunds, issue return shipping labels, reimburse restocking fees, provide store credit, or enforce, arbitrate, guarantee, or intervene in any seller's return windows, exchange rules, or warranty claims. Each Third-Party Retailer's return, refund, and cancellation policies apply independently and exclusively. Furthermore, while our AI models provide personalized sizing estimations and fit descriptors, these are algorithmic approximations only; PoloPan disclaims all liability if garments do not fit or meet subjective expectations.
Chargebacks And Payment Disputes
PoloPan NEVER collects consumer credit or debit card numbers, CVVs, bank account information, or payment credentials for garment purchases, and does NOT process retail checkout transactions. PoloPan has NO standing, legal role, or liability in connection with consumer chargeback requests, payment disputes, banking fraud investigations, unauthorized transaction claims, or payment reversals. Consumers must direct all payment disputes, chargeback claims, billing questions, and refund requests exclusively to their card-issuing financial institution or the Third-Party Retailer's payment gateway.
Seller Warranties And Safe Harbor
PoloPan operates as an intermediary protected under Section 79 of the Information Technology Act, 2000, Articles 4–6 of the EU Digital Services Act (DSA), and U.S. 47 U.S.C. § 230 safe harbor doctrines. PoloPan makes no representations or warranties regarding third-party product authenticity, fabric composition, wash care instructions, durability, safety, or intellectual property clearance.
First Party Affiliate And Monetization Disclosure
Proprietary First-Party Affiliate Attribution & Referral Disclosure
PoloPan operates its own proprietary first-party affiliate routing and attribution infrastructure. When you browse curated outfits, click on item links, and navigate to third-party retailer storefronts, our systems may append secure, first-party tracking parameters to verify qualifying referrals and receive referral commissions or merchant partnership fees from partner retailers and merchant stores. This attribution operates entirely within PoloPan's secured cloud systems and partner merchant webhooks without transmitting or selling your personal data to third-party ad brokers. Crucially, affiliate commissions never increase the purchase price you pay on the retailer's storefront; prices, discounts, and promotions are established independently by the respective Third-Party Retailers. This disclosure is provided in compliance with global consumer protection standards, including the U.S. Federal Trade Commission (FTC) Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR § 255), the UK Advertising Standards Authority (ASA) / Competition and Markets Authority (CMA), and the European Union Consumer Rights Directive.
Cross Border Commerce And Currency
Multi Currency Pricing
PoloPan supports multi-currency catalog browsing across global destinations (including USD, EUR, GBP, CAD, AUD, AED, INR, and others). Currency conversions and localized price estimates displayed within the Service are calculated using automated exchange rate feeds for convenience and comparison purposes. Final transaction amounts, accepted billing currencies, exchange rate adjustments, and bank conversion fees are governed exclusively by the Third-Party Retailer and your payment card issuer.
Customs Duties And Import Taxes
For cross-border and international orders, you are solely responsible for ensuring that imported goods comply with the laws of your destination country. Deliveries may be subject to local import taxes, customs tariffs, value-added tax (VAT), goods and services tax (GST), and courier handling fees upon entry. These charges depend on the retailer's shipping model (Delivered Duty Paid 'DDP' vs. Delivered Duty Unpaid 'DDU') and are determined by local customs authorities. PoloPan assumes no liability for customs holds, delays, import tariffs, or cross-border seizure of goods.
Product Availability And Serviceability
While our multi-country shipping engine dynamically filters product feeds based on reported retailer serviceability (`countries_shipping_to`), inventory levels, localized shipping restrictions, and delivery timelines are controlled exclusively by Third-Party Retailers and may change in real-time.
User Eligibility Age
The Service is intended for individuals who are at least 13 years of age (or at least 16 years of age for residents of the European Economic Area and United Kingdom, unless local law permits a lower age). By accessing or using the Service, you represent and warrant that you meet these minimum age requirements. If you are between the ages of 13 (or 16 in the EEA/UK) and the age of legal majority in your jurisdiction, you may only access or use the Service with the explicit consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. The Service is not directed to children under 13, and we do not knowingly collect personal information from individuals under 13 in compliance with the U.S. Children's Online Privacy Protection Act (COPPA), GDPR-K, and applicable global child safety laws.
Term Duration
These Terms remain in full force and effect while you access or use the Service or maintain an active account. Provisions that by their nature should survive termination (including intellectual property ownership, license grants, user content licenses, warranty disclaimers, indemnity, limitations of liability, governing law, and dispute resolution) shall survive any termination or expiration of these Terms.
Account Registration Security
Account Creation
Certain personalized features (including saved looks, virtual wardrobe, AI style profiling, and interactive feeds) require you to create an account using your international mobile phone number (E.164 format) or supported OAuth single sign-on providers. You agree to provide true, accurate, current, and complete information and to keep your account details updated.
Account Responsibility
You are solely responsible for maintaining the confidentiality of your account credentials, verification codes, and authentication tokens, and for all activities and interactions that occur under your account. You agree to notify us immediately at security@polopan.com of any unauthorized use or suspected security breach.
Right To Refuse Cancel
We reserve the right to refuse registration, disable features, or suspend or terminate accounts at our sole discretion for any violation of these Terms, automated abuse, fraudulent activity, or legal compliance mandates.
Intellectual Property License
Our Content
The Service, including our proprietary AI recommendation algorithms, multi-centroid ranking engines, vector similarity models, software, user interface design, trademarks, logos, graphics, text, and composite look assemblies, is the exclusive intellectual property of Rofoso Consumer Private Limited or our licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws globally.
Limited License
Subject to your compliance with these Terms, we grant you a personal, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial fashion discovery and shopping purposes.
Conditions Of License
You may not: (a) copy, modify, distribute, sell, lease, or create derivative works of any part of the Service; (b) reverse engineer, decompile, or extract source code from our algorithms or models; (c) use automated scrapers, bots, spiders, or data mining tools to extract catalog data or vectors; (d) bypass, disable, or interfere with security features; or (e) use our Service to train competing machine learning models or commercial services without our prior written authorization.
User Content Code Of Conduct
Your Content
You retain full ownership of any photos, style reviews, comments, wardrobe images, or feedback you upload or transmit through the Service ("User Content"). By submitting User Content, you grant PoloPan a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to use, host, store, reproduce, process, adapt, and display such User Content solely for the technical operation, personalization, AI styling inference, and improvement of the Service, in accordance with our Privacy Policy.
Code Of Conduct
You agree not to upload, post, or transmit any User Content that: (a) is unlawful, defamatory, libelous, harassing, threatening, hateful, or discriminatory; (b) infringes any third party's copyright, trademark, privacy, publicity, or intellectual property rights; (c) contains sexually explicit content, nudity, or violence; (d) impersonates any person or entity; (e) contains malware, viruses, or malicious code; or (f) violates any applicable local, state, national, or international law, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, EU Digital Services Act (DSA), and U.S. online safety regulations.

PoloPan respects the intellectual property rights of creators and brands. In accordance with the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512), EU copyright directives, and the Indian Copyright Act / IT Intermediary Rules, we maintain an expedited notice and takedown procedure for reported copyright infringement. If you believe in good faith that content hosted on or indexed by our Service infringes your copyright, please send a written notification to our Designated Copyright / DMCA Agent containing: (1) identification of the copyrighted work claimed to have been infringed; (2) identification of the infringing material with sufficient detail/URL to enable us to locate it; (3) your contact details (full name, address, telephone number, email); (4) a statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (5) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf; and (6) your physical or electronic signature. TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLOPAN EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

All product information, imagery, pricing, fabric details, sizing recommendations, and stock levels are provided by Third-Party Retailers. AI styling suggestions are generated algorithmically for informational and style inspiration purposes only and may not suit every individual body type, fit preference, climate, or cultural requirement. PoloPan makes no representations or warranties regarding the authenticity, quality, safety, fit, or durability of any garments purchased from Third-Party Retailers.
Limitation Of Liability
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL ROFOSO CONSUMER PRIVATE LIMITED, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE. Indemnification
You agree to defend, indemnify, and hold harmless Rofoso Consumer Private Limited, its parent companies, subsidiaries, affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal and accounting fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms or any applicable law; or (d) your infringement or violation of any third-party intellectual property, privacy, or consumer rights.
Termination
We reserve the right, without prior notice or liability, to suspend, terminate, or restrict your access to all or part of the Service at our sole discretion, for any reason, including without limitation your breach of these Terms. You may terminate your agreement with us at any time by deleting your account via the in-app settings screen and ceasing all use of the Service. Upon termination, all licenses granted to you shall terminate immediately.

These Terms and any dispute, controversy, or claim arising out of or relating to them or the Service shall be governed by and construed in accordance with the substantive laws of the Republic of India, without regard to conflict of laws principles. Arbitration And Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, including their formation, breach, validity, or termination, shall be resolved through binding, individual arbitration. For users globally, arbitration shall be conducted in English by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996 (as amended) or international commercial arbitration rules. The seat and legal place of arbitration shall be Vadodara, Gujarat, India, or another mutually agreed international venue.
Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS. YOU AND POLOPAN EXPRESSLY WAIVE ANY RIGHT TO COMMENCE, JOIN, OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING AGAINST THE OTHER.
Jurisdiction
Subject to the arbitration provisions above, any court proceedings not subject to arbitration shall be brought exclusively in the competent courts located in Vadodara, Gujarat, India, and the parties hereby irrevocably submit to the exclusive personal jurisdiction and venue of such courts.
Trade Sanctions And Export Compliance
You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive international trade sanctions or embargoes (including without limitation sanctions administered by the U.S. Office of Foreign Assets Control 'OFAC', European Union, United Kingdom HM Treasury, or United Nations), and that you are not listed on any restricted parties or denied persons lists. You agree to comply with all applicable global export control and trade compliance regulations.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any supplemental terms, constitute the entire and exclusive agreement between you and PoloPan regarding the Service.
Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable by an arbitrator or court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
No Waiver
Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
Assignment
You may not assign, transfer, or delegate these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms without restriction.
Electronic Communications
You consent to receive communications from us electronically (via in-app notifications, email, or SMS), and you agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.

PoloPan acts as an intermediary technology platform under the Information Technology Act, 2000 (Section 79), EU Digital Services Act (DSA), and U.S. safe harbour doctrines. We maintain ongoing due diligence and prompt takedown workflows upon receiving verified notices of unlawful content.
